It is a Delaware blank check company, also known as a Business Combination Companytm or BCCtm, formed in April 2005 for the purpose of acquiring, through a merger, capital stock exchange, asset acquisition or other similar business combination, one or more domestic or international operating businesses in the U.S. homeland security or defense industries or a combination thereof. They do not have any specific merger, capital stock exchange, asset acquisition or other business combination under consideration and they have not, nor has anyone on their behalf, contacted any potential target business or had any discussions, formal or otherwise, with respect to such a transaction. To date their efforts have been limited to organizational activities as well as activities related to this offering.
